Welcome to HuluPrints.

These Terms of Use (“Terms”) govern your access to and use of the HuluPrints website, mobile applications, marketplace, services, and related features (collectively, the “Platform”).

HuluPrints is an online printing and personalization marketplace that connects customers with individual printing providers, designers, home-based businesses, printing companies, and other service providers (“Vendors”).

Through HuluPrints, customers may request and purchase products and services including, but not limited to:

  • T-shirts and customized clothing
  • Caps and hats
  • Mugs and cups
  • Personalized gifts
  • Business cards
  • Flyers, banners, brochures, and promotional materials
  • Office printing services
  • Graphic design services
  • Personalized merchandise
  • Corporate printing
  • Other custom printing products and services

By accessing or using HuluPrints, creating an account, registering as a Vendor, submitting an order, uploading artwork, or otherwise using the Platform, you agree to these Terms.

If you do not agree with these Terms, you should not use HuluPrints.

1. Acceptance of These Terms

By using HuluPrints, you confirm that you have read, understood, and agreed to these Terms and any additional policies referenced in them.

These Terms apply to both:

  1. Customers who purchase or request printing products and services; and
  2. Vendors who register to provide printing, design, production, or related services through HuluPrints.

Additional Vendor-specific terms may apply under a separate HuluPrints Vendor Agreement.

2. Changes to These Terms

HuluPrints reserves the right to modify, update, add, or remove portions of these Terms from time to time.

Where appropriate, HuluPrints may notify users of material changes through the Platform, email, SMS, or another reasonable communication method.

Updated Terms become effective when published unless another effective date is specified.

Your continued use of HuluPrints after the updated Terms become effective constitutes acceptance of the revised Terms.

HuluPrints may also modify, suspend, discontinue, or introduce new features, products, services, or functionality at any time.

3. HuluPrints Marketplace

HuluPrints operates as a digital marketplace connecting customers with Vendors who provide printing and related services.

HuluPrints may facilitate:

  • Product discovery;
  • Customer requests;
  • Order placement;
  • Design submission;
  • Vendor selection;
  • Payment processing;
  • Order communication;
  • Order tracking;
  • Customer support;
  • Vendor management;
  • Delivery coordination; and
  • Payment settlement.

Unless expressly stated otherwise, HuluPrints is a marketplace platform and does not directly manufacture every product listed or offered through the Platform.

The Vendor accepting an order is responsible for producing the customer’s product in accordance with the approved order specifications.

4. Customer Accounts

Certain HuluPrints services require customers to create an account.

Customers are responsible for:

  • Providing accurate and current information;
  • Keeping account credentials confidential;
  • Maintaining the security of their account;
  • Providing accurate delivery information;
  • Reviewing order information before confirming an order; and
  • All activities carried out through their account.

You must immediately notify HuluPrints if you believe that your account has been accessed without authorization.

HuluPrints is not responsible for losses resulting from your failure to protect your account credentials.

5. Vendor Registration

Individuals and companies may register as Vendors on HuluPrints, subject to approval and applicable Vendor requirements.

A Vendor may include:

  • Individual printers;
  • Home-based printing businesses;
  • Graphic designers;
  • Printing shops;
  • Promotional-product businesses;
  • Corporate printing companies; and
  • Other businesses or individuals capable of providing approved printing services.

Vendors must provide accurate information during registration and maintain accurate business, contact, payment, and service information.

HuluPrints may request additional information or documentation to verify a Vendor’s identity, business, services, or ability to fulfill orders.

HuluPrints reserves the right to approve, reject, suspend, or terminate Vendor accounts in accordance with these Terms and applicable policies.

6. Vendor Commission

For each completed order placed through HuluPrints, HuluPrints will retain a 14.5% commission from the displayed goods/product price.

The commission is calculated based on the applicable goods or product price displayed to the customer.

Example

If a product is displayed at:

1,000 ETB

HuluPrints’ 14.5% commission is:

145 ETB

The Vendor’s amount before any other applicable charges is:

855 ETB

The 14.5% commission applies to the goods/product price unless otherwise stated in a specific Vendor agreement or promotion.

Delivery charges, payment processing charges, taxes, discounts, refunds, or other applicable charges may be treated separately according to the applicable order and Vendor agreement.

HuluPrints reserves the right to change the commission rate by providing reasonable notice to Vendors.

7. Vendor Order Fulfillment

When a Vendor accepts an order, the Vendor is responsible for producing and completing the order according to the customer’s approved specifications.

The Vendor is responsible for:

  • Producing the correct product;
  • Producing the correct quantity;
  • Using appropriate materials;
  • Following the approved artwork;
  • Following the customer’s approved specifications;
  • Maintaining reasonable production quality;
  • Completing production within the agreed timeframe;
  • Properly packaging the order;
  • Preparing the order for delivery; and
  • Delivering the product to the customer according to the applicable delivery arrangement.

A Vendor must not knowingly substitute a different product, material, design, or specification without the customer’s approval or HuluPrints’ authorization where applicable.

8. Vendor Delivery Responsibility

Unless otherwise specified for a particular order, the Vendor is responsible for delivering the completed product to the customer.

The Vendor must:

  • Package the product appropriately;
  • Verify the order before dispatch;
  • Deliver the correct product;
  • Use the delivery information provided through the Platform;
  • Handle the product carefully during delivery; and
  • Complete delivery within the agreed timeframe.

HuluPrints may facilitate delivery coordination, tracking, customer communication, or other delivery-related services.

However, the Vendor remains responsible for the physical product until it has been properly delivered to the customer, unless a separate delivery arrangement states otherwise.

9. Vendor Product Quality Responsibility

The Vendor is primarily responsible for the quality of products it produces and delivers.

This includes, without limitation:

  • Printing quality;
  • Product material and condition;
  • Correct size;
  • Correct quantity;
  • Correct color;
  • Correct design;
  • Correct personalization;
  • Proper finishing;
  • Proper packaging; and
  • Product condition at the time of delivery.

If a customer reports a quality problem, HuluPrints may request photographs, order information, or other evidence and may investigate the complaint with the Vendor.

Where the problem is determined to be the Vendor’s responsibility, the Vendor may be required to:

  • Reproduce the product;
  • Replace the product;
  • Correct the defect;
  • Provide another appropriate remedy; or
  • Refund the applicable amount where required by HuluPrints’ policies or applicable law.

10. Vendor Performance and Ratings

HuluPrints may monitor Vendor performance using factors including:

  • Product quality;
  • Customer ratings;
  • Customer complaints;
  • Order completion rate;
  • Cancellation rate;
  • Delivery performance;
  • Response time;
  • Customer service;
  • Compliance with Platform policies; and
  • Compliance with applicable laws.

HuluPrints may suspend, restrict, or remove a Vendor if the Vendor repeatedly fails to meet reasonable service standards or violates these Terms.

11. Customer Orders

Customers are responsible for reviewing their order information before confirming an order.

This includes:

  • Product type;
  • Size;
  • Quantity;
  • Color;
  • Design;
  • Text;
  • Names;
  • Images;
  • Personalization;
  • Delivery address; and
  • Other applicable specifications.

Submitting an order constitutes a request to purchase the selected product or service.

An order becomes accepted when HuluPrints or the applicable Vendor confirms the order.

HuluPrints or a Vendor may refuse or cancel an order where:

  • The requested product is unavailable;
  • The submitted content may violate the law;
  • The content may infringe third-party rights;
  • The order contains prohibited material;
  • The Vendor cannot reasonably fulfill the order;
  • Fraud is suspected; or
  • Technical, payment, or other circumstances prevent fulfillment.

12. Customer-Approved Designs

Customers are responsible for reviewing and approving all information before production.

This includes spelling, names, dates, photographs, logos, colors, sizes, artwork, and other customization information.

Once production begins, changes may not be possible.

Customers may be responsible for additional costs resulting from changes requested after production has started.

A Vendor will generally not be responsible for errors that were clearly contained in customer-provided or customer-approved information, except where the Vendor materially deviated from the approved order.

13. User-Provided Artwork and Images

When you upload or submit artwork, photographs, logos, names, text, trademarks, graphics, designs, or other materials (“User Content”), you represent and warrant that:

  1. You own the User Content or have obtained all necessary rights and permissions to use it;
  2. You have the right to authorize HuluPrints and the applicable Vendor to reproduce, print, modify, process, and use the User Content for fulfillment of your order;
  3. The User Content does not infringe copyright, trademark, privacy, publicity, or other rights;
  4. The User Content does not violate applicable law; and
  5. The User Content does not contain unlawful or prohibited material.

You remain responsible for the User Content that you submit.

HuluPrints does not guarantee that customer-submitted artwork is legally authorized for use.

14. Intellectual Property and Copyright

HuluPrints respects intellectual property rights.

Customers may not submit artwork, logos, photographs, trademarks, or other materials that they do not have permission to reproduce.

You are responsible for obtaining appropriate licenses or permissions before submitting protected material.

HuluPrints may reject an order where it reasonably believes that the requested production may infringe third-party intellectual property rights.

15. Indemnification for User Content

You agree to indemnify and hold harmless HuluPrints, its owners, directors, officers, employees, contractors, Vendors, service providers, and agents against claims, losses, liabilities, damages, costs, and reasonable legal expenses arising from:

  • Your User Content;
  • Unauthorized use of copyrighted material;
  • Unauthorized use of trademarks;
  • Unauthorized use of photographs or personal images;
  • Infringement claims; or
  • Your violation of another person’s rights.

16. HuluPrints Intellectual Property

The HuluPrints name, logo, branding, website design, software, graphics, text, platform features, trademarks, and other proprietary materials belong to HuluPrints or its licensors.

You may not copy, reproduce, distribute, modify, sell, publish, or commercially exploit HuluPrints intellectual property without prior written permission.

Nothing in these Terms transfers ownership of HuluPrints intellectual property to a customer or Vendor.

17. Clip Art, Templates and Design Elements

HuluPrints may provide templates, fonts, clip art, icons, graphics, photographs, or other design elements.

Unless otherwise stated, these materials are owned by HuluPrints or licensed from third parties.

Use of such materials does not automatically grant customers exclusive ownership.

Customers and Vendors must comply with any applicable license restrictions.

18. Custom Design Services

HuluPrints or its Vendors may provide graphic design and customization services.

Customers are responsible for reviewing and approving final designs before production.

Where a design contains pre-existing HuluPrints or third-party elements, payment for a design service does not automatically transfer ownership of those underlying elements.

Unless otherwise agreed in writing, HuluPrints retains ownership of its pre-existing design resources and proprietary templates.

19. Product Colors and Appearance

HuluPrints makes reasonable efforts to display product images, colors, and designs accurately.

However, colors displayed on phones, computers, tablets, and other screens may differ from actual printed products.

Differences may result from:

  • Screen settings;
  • Lighting;
  • Printing methods;
  • Printing equipment;
  • Materials;
  • Ink;
  • Fabric;
  • Paper; or
  • Other production conditions.

Minor variations in color, placement, texture, size, and appearance may occur.

20. Pricing

Product prices are determined based on factors including:

  • Product type;
  • Materials;
  • Printing method;
  • Quantity;
  • Size;
  • Design requirements;
  • Vendor pricing;
  • Customization; and
  • Other applicable services.

Prices displayed on the Platform may change from time to time.

HuluPrints reserves the right to correct obvious pricing or product information errors.

21. Payments

Customers agree to provide valid payment information and authorize HuluPrints or its designated payment provider to process applicable charges.

HuluPrints may use third-party payment providers and financial institutions to process transactions.

Payment services may be subject to additional terms and conditions imposed by the applicable payment provider.

Vendors are responsible for maintaining accurate payment and settlement information.

22. Vendor Payment Settlement

After an order is completed and subject to applicable HuluPrints policies, the Vendor’s payable amount will be calculated after deduction of the HuluPrints commission and any other applicable charges.

HuluPrints may delay, hold, adjust, or withhold settlement where reasonably necessary to:

  • Investigate suspected fraud;
  • Resolve a customer complaint;
  • Address a refund;
  • Handle a product-quality dispute;
  • Correct an accounting error;
  • Comply with legal requirements; or
  • Protect the Platform and its users.

Additional Vendor payment and settlement rules may be provided in the HuluPrints Vendor Agreement.

23. Delivery Times

Delivery times may vary depending on:

  • Product type;
  • Quantity;
  • Design complexity;
  • Production location;
  • Vendor availability;
  • Customer location;
  • Delivery arrangements;
  • Transportation;
  • Weather;
  • Public holidays; and
  • Other circumstances outside reasonable control.

Estimated delivery times are not guaranteed unless expressly stated otherwise.

24. Returns, Refunds and Reprints

Because many HuluPrints products are customized specifically for customers, customized products may not be returnable simply because a customer changes their mind or provides incorrect personalization information.

If a customer receives a product that is:

  • Defective;
  • Damaged;
  • Incorrectly printed;
  • Incorrect in size or quantity;
  • Materially different from the approved order; or
  • Otherwise materially inconsistent with the confirmed order,

the customer should contact HuluPrints within the applicable period and provide supporting evidence, including photographs where requested.

Depending on the circumstances, HuluPrints may provide:

  • A replacement;
  • Reprinting;
  • Correction;
  • Store credit; or
  • Refund.

The applicable remedy will depend on the circumstances, Vendor responsibility, HuluPrints policies, and applicable law.

25. Prohibited Content

HuluPrints may refuse to produce or distribute products containing content that is unlawful, threatening, abusive, defamatory, fraudulent, hateful, obscene, or infringing.

HuluPrints may also refuse content that:

  • Promotes illegal activity;
  • Violates intellectual property rights;
  • Violates privacy or publicity rights;
  • Contains fraudulent information;
  • Impersonates another person or organization; or
  • Violates applicable laws or regulations.

HuluPrints may remove prohibited content and suspend or terminate accounts associated with such activity.

26. Privacy and Personal Information

HuluPrints may collect information necessary to operate the Platform and fulfill orders.

This may include:

  • Name;
  • Phone number;
  • Email address;
  • Delivery address;
  • Account information;
  • Order information;
  • Payment-related information;
  • Customer communications; and
  • Uploaded designs or images.

HuluPrints processes personal information in accordance with its Privacy Policy.

Information may be shared with appropriate service providers, including Vendors, payment providers, delivery providers, technology providers, and other parties where necessary to provide HuluPrints services, process orders, prevent fraud, or comply with legal obligations.

27. Account Security

HuluPrints uses reasonable technical and organizational measures to protect its Platform and user information.

However, no online system can be guaranteed to be completely secure.

Users are responsible for protecting their account credentials and devices.

Users should immediately notify HuluPrints of suspected unauthorized access.

28. Third-Party Services

HuluPrints may integrate with third-party services, including:

  • Payment providers;
  • Delivery services;
  • Communication services;
  • Hosting providers;
  • Analytics services; and
  • Other technology providers.

Third-party services may have their own terms and privacy policies.

HuluPrints is not responsible for the independent operation, policies, or practices of third-party services.

29. Platform Availability

HuluPrints makes reasonable efforts to maintain the Platform.

However, we do not guarantee that the Platform will always be:

  • Available;
  • Uninterrupted;
  • Error-free;
  • Secure;
  • Free of technical problems; or
  • Available on every device.

Temporary interruptions may occur because of maintenance, technical problems, network failures, hosting issues, cyber incidents, or other circumstances.

30. Disclaimer of Warranties

To the maximum extent permitted by applicable law, HuluPrints provides the Platform and its services on an “as is” and “as available” basis.

HuluPrints does not guarantee that:

  • The Platform will always be available;
  • All information will always be accurate;
  • Products will always be available;
  • Every Vendor will fulfill orders without problems;
  • Delivery times will always be met;
  • Product colors will exactly match digital previews; or
  • Third-party services will always operate without interruption.

Nothing in these Terms excludes or limits rights that cannot legally be excluded or limited under applicable law.

31. Limitation of Liability

To the maximum extent permitted by applicable law, HuluPrints will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of the Platform or services.

This may include loss of:

  • Profits;
  • Revenue;
  • Business opportunities;
  • Savings;
  • Data; or
  • Business reputation.

Where liability cannot legally be excluded, HuluPrints’ liability will be limited to the maximum extent permitted by applicable law.

Subject to mandatory legal rights, HuluPrints’ liability relating to a specific transaction will generally not exceed the amount actually paid for the affected order.

32. Vendor Responsibility and HuluPrints Liability

Vendors are independently responsible for the products and services they provide through HuluPrints.

This includes responsibility for:

  • Product quality;
  • Printing;
  • Materials;
  • Production;
  • Packaging;
  • Order accuracy;
  • Delivery;
  • Vendor personnel; and
  • Compliance with applicable laws.

HuluPrints provides the marketplace and technology infrastructure but does not assume responsibility for defects or failures caused directly by an independent Vendor.

However, HuluPrints may assist in resolving customer complaints and may take appropriate action against Vendors under its policies.

33. Indemnification

You agree to indemnify and hold harmless HuluPrints, its owners, directors, officers, employees, contractors, Vendors, partners, and agents from claims, damages, liabilities, costs, and reasonable expenses arising from:

  • Your violation of these Terms;
  • Your unlawful use of the Platform;
  • Your User Content;
  • Your infringement of third-party rights;
  • Your fraudulent activities; or
  • Your misuse of HuluPrints services.

34. Account Suspension and Termination

HuluPrints may suspend or terminate an account where a user or Vendor:

  • Violates these Terms;
  • Engages in fraudulent activity;
  • Repeatedly fails to fulfill orders;
  • Produces poor-quality products;
  • Misuses the Platform;
  • Submits unlawful or infringing content;
  • Creates security risks;
  • Fails to make required payments; or
  • Violates applicable law.

HuluPrints may also remove listings or restrict access to particular services.

35. Force Majeure

HuluPrints and Vendors will not be responsible for delays or failures caused by circumstances beyond reasonable control.

These may include:

  • Natural disasters;
  • Floods;
  • Fire;
  • Power outages;
  • Internet failures;
  • Telecommunications failures;
  • Transportation disruptions;
  • Government actions;
  • Civil disturbances;
  • Labor disputes;
  • Epidemics or pandemics;
  • Security incidents; or
  • Other unforeseen events.

36. Compliance With Laws

Users and Vendors must comply with all applicable Ethiopian laws and regulations when using HuluPrints.

Users must not use HuluPrints to conduct unlawful activities or to produce products prohibited by law.

Vendors are responsible for obtaining any licenses, registrations, permits, or approvals required for their business activities.

37. Dispute Resolution

If a dispute arises between a customer, Vendor, and/or HuluPrints, the parties should first attempt to resolve the matter through good-faith communication and the HuluPrints customer-support process.

Where a dispute cannot be resolved amicably, it may be referred to an appropriate dispute-resolution mechanism or court having jurisdiction under applicable Ethiopian law.

38. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Democratic Republic of Ethiopia, except where mandatory applicable law provides otherwise.

39. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain effective to the maximum extent permitted by law.

40. Entire Agreement

These Terms, together with the HuluPrints Privacy Policy, Refund and Return Policy, Vendor Agreement, and other policies expressly incorporated into these Terms, constitute the agreement governing your use of HuluPrints.

If there is a conflict between these Terms and a specific written agreement applicable to a particular service, the specific agreement will control to the extent of that conflict.
